Disclosure Policy

1.Basic Policy on Information Disclosure

Citizen Watch Co., Ltd. (hereinafter the “Company”) adopts the fair, timely and appropriate disclosure of information to its stakeholders, including shareholders and investors, as its basic policy. The Company discloses information in accordance with the Financial Instruments and Exchange Act, other laws and timely disclosure regulations set by the Tokyo Stock Exchange where its share is listed. The Company also appropriately, honestly and fairly discloses information outside the scope of information disclosure based on the timely disclosure regulations in cases where such information may influence the investment decisions of its stakeholders, including shareholders and investors.

2.Information Disclosure Methods

The Company discloses information under the scope of timely disclosure regulations set by the Tokyo Stock Exchange through the Timely Disclosure Network (hereinafter the “TDnet”) offered by the Exchange. The Company promptly publishes information disclosed through the TDnet at its official website, too.
Moreover, the Company will work to disclose information outside the scope of information disclosure based on the timely disclosure regulations on its official website in cases where it discloses such information.
The Company will publish securities reports and the like based on the Financial Instruments and Exchange Act through the Electronic Disclosure for Investors’ NETwork (hereinafter the “EDINET”) offered by the Financial Services Agency.

3.Matters Relating to Results Forecasts

Descriptions about the future, such as results forecasts, in materials disclosed by the Company are based on business conditions and information accessible at the point of their disclosure and certain assumptions the Company judges to be rational. Those descriptions do not mean the Company guarantees their achievement.
Various factors may cause actual results to differ materially from those descriptions. Please bear in mind that the descriptions contain risks and uncertainties.

4.Quiet Period

The Company sets the period from the day after account settlement for each quarter to the day of the results announcement as a quiet period to prevent the leakage of information about results and to guarantee the fairness of information disclosure to its stakeholders, including shareholders and investors.
The Company refrains from answering questions about results forecasts and commenting on the forecasts during the quiet period.
However, the Company will make disclosure in accordance with the timely disclosure regulations should any case that falls under the scope of such regulations arise during the quiet period.

5.How the Company Positions Its Official Website

The Company adopts a policy of publishing disclosed information on its official website as soon as possible following its disclosure. However, please keep in mind the possibility that events, such as telecommunications problems, may delay the publication of disclosed information on the website.
Please also bear in mind the possibility that the Company’s official website does not completely cover information disclosed by the Company.
